The Second Motion to Approve Disallowance of Certain Grower Class 5 Claims (the “Motion”) having come before this court on the 14th day of January, 2003, Carol E. Jendrzey of Cox Smith, Incorporated, and Jeanette E. McPherson of Schwartzer McPherson Law Firm appearing on behalf of the Anthony H.N. Schnelling, Creditor Trustee for the Bankruptcy Estates of AgriBioTech, Inc., Las Vegas Fertilizer Co., Inc., Garden West Distributors, Inc. and Geo. W. Hill Co., Inc.’s (the “Creditor Trustee”); the Court finding that proper notice was given to all parties in interest; the Court having reviewed the Motion and good cause appearing, it is hereby

ORDERED that the Motion is GRANTED and the Class 5 Claims for Growers listed on attached Exhibit “A” are disallowed; and it is further

ORDERED that the claims of Next Factor, as assignee of Ohigro South, Inc., and Sylvester Van Loo shall be resolved by the ADR procedure.
