ORDER PURSUANT TO BANKRUPTCY RULE 9019 APPROVING SETTLEMENT AGREEMENT AND RELEASE

Upon the Motion of Scott P. Peltz, as Plan Administrator (the “Plan Administrator”), for Order Approving Settlement Agreement and Release with Winterthur International America Insurance Company (“Winterthur”) Pursuant to Bankruptcy Rule 9019 (the “Motion”), filed on February 5, 2003, due notice having been given to Winterthur and all other parties entitled to notice, and sufficient cause appearing therefore, it is hereby
ORDERED, that the Motion is granted; and it is further
ORDERED, that the Plan Administrator was and is authorized to execute the Settlement Agreement on the terms set forth in the Settlement Agreement attached as Exhibit A to the Motion; and it is further
ORDERED, that the terms of the Settlement Agreement are hereby incorporated by reference into this Order in their entirety and are hereby approved in their entirety; and it is further

ORDERED, that the Plan Administrator and Winterthur were and are hereby authorized, empowered and directed to take such actions as may be necessary and appropriate to implement the terms of the Settlement Agreement and this Order; and it is further
ORDERED, that this Court shall retain jurisdiction over any dispute arising from or in connection with the Settlement Agreement.
This is a final Order pursuant to 28 U.S.C. § 157 and 158 and is effective immediately upon entry.
