ORDER APPROVING SETTLEMENT AND COMPROMISE OF CLAIMS OF CANTOR FITZGERALD

This matter having come on to be heard on the consent motion (the “Motion”) of Scott Peltz, the Chapter 11 Plan Administrator (the “Plan Administrator”) for the estate of BIS Administration, Inc. (f/k/a Bridge Information Systems, Inc.) (“BIS”) and certain of its subsidiaries, including, without limitation, TLR Administration, Inc. (f/k/a Telerate, Inc.) (“Telerate”) (collectively, “the Debtors”) for the entry of an order approving a settlement and compromise between Cantor Fitzgerald Securities (successor-in-interest to Cantor Fitzgerald Securities Corp.) (“Cantor Fitzgerald”) and the Debtors concerning various claims by Cantor Fitzgerald against Telerate and certain of the other Debtors, the Court being advised in the premises,
IT IS HEREBY ORDERED THAT:
1. The Debtors’ settlement with Cantor Fitzgerald, as set forth as Exhibit A to the Motion, (the “Settlement Agreement”) is approved, and all of its terms are incorporated herein by this reference.
2. Without limiting the foregoing, pursuant to the Settlement Agreement, the Plan

Administrator agrees as follows:
(a) He shall pay Cantor Fitzgerald the sum of One Million, Seven Hundred Twenty-Five Thousand Dollars ($1,725,000.00), consistent with the terms of Paragraph 2 of the Settlement Agreement;
(b) He shall not object to the allowance of Claim No. 1455 against Bridge and of Claim Nos. 1436 and 1819 against Telerate, consistent with the terms of Paragraph 3 of the Settlement Agreement; and
(c) He shall not object to the dismissal with prejudice of the Plan Administrator’s Counterclaims against Cantor Fitzgerald, consistent with the terms of Paragraph 4 of the Settlement Agreement.
3. The Plan Administrator is hereby authorized to execute any and all documents and to take any and all actions necessary to effectuate the terms of the Settlement Agreement.
