Upon consideration of the Debtors’ Expedited First Omnibus Motion to Reject Certain Unexpired Equipment and Vehicle Leases (the “Motion”), filed by Encompass Services Corporation and certain of its direct and indirect subsidiaries, as debtors and debtors in possession (collectively, the “Debtors”); and the Court being satisfied that the relief requested in the Motion is in the best interests of the Debtors and their estates; and it appearing that due notice of this Motion has been given and that no other or further notice need be given and sufficient cause appearing therefor, it is
ORDERED that the form Notice of Lease Rejection, attached to the motion as Exhibit C, is approved in all respects and the Debtors are directed to send such notice to each of the lessors listed on Exhibits A B attached hereto along with a copy of this Order; and it is further
ORDERED that, to the extent that vehicles subject to rejected leases between the Debtors and Automotive Rentals, Inc. (“ARI”) (the “ARI Rejected Vehicles”) have not been returned to ARI prior to the entry of this Order, the Debtors shall make all reasonable and good faith efforts to either deliver possession of the ARI Rejected Vehicles to ARI, or to make the ARI Rejected Vehicles available so that ARI may retrieve them, such efforts shall include, without limitation, notification to the Debtors’ agents, employees and any and all other individuals, firms or corporations who are in possession of any ARI Rejected Vehicles that such agents, employees, individuals, firms or corporations are to make reasonable efforts to either deliver possession of the ARI Rejected Vehicles to ARI, or to make the ARI Rejected Vehicles available so that ARI may retrieve them; and it is further
ORDERED that, ARI has not waived its rights, if any, to assert claims against the Debtors’ estates for cure, including, without limitation, cure of any rejection damages or other amounts arising under, among other things, the cross-default provisions contained in the agreements by and between the Debtors and ARI, and the Debtors have not waived any rights to contest such claims, or the bases thereof; and it is further
ORDERED that this Court will retain exclusive jurisdiction to construe and enforce the terms of this Order.
