AGREED ORDER GRANTING THE MOTION FOR RELIEF FOR THE STAY OF FORD MOTOR CREDIT COMPANY

This Court has considered the Motion of Ford Motor Credit Company (“Ford”) for Relief from the Stay dated December 16, 2002 (“Motion”) and the Omnibus Response of Encompass Services Corporation and certain of its direct and indirect subsidiaries (“Debtors”) with respect to one (1) Ford Truck leased to the Debtors and identified as follows:

Vehicle Type: 2000 Ford F150

VIN: 1FTZF1729YNB93394

After considering the Motion and Response filed by the Debtors’ counsel, the Court hereby,

FINDS that the Debtors have concluded that the lease is burdensome and the vehicle identified in the Motion is not necessary or beneficial to the reorganization of the estates and. therefore, the Court

ORDERS that the Motion is GRANTED and the stay is lifted to the extent necessary to permit Ford to take possession of the above-referenced vehicle and sell such vehicle as permitted by state law. Ford may immediately enforce and implement this Order.
