 ORDER PURSUANT TO SECTIONS 363(b) AND 105(a) OF THE BANKRUPTCY CODE AUTHORIZING DEBTORS TO ENTER INTO AGREEMENT FOR THE COLLECTION OF CERTAIN ACCOUNTS RECEIVABLE

Upon consideration of the Supplemental Expedited Motion of the Debtors for an Order Pursuant to Sections 363(b) and 105(a) of the Bankruptcy Code Authorizing the Debtors to Enter into an Agreement for the Collection of Certain Accounts Receivable (the “Supplemental Motion”), filed by Encompass Services Corporation and its direct and indirect subsidiaries (collectively, the “Debtors”), seeking an order authorizing the Debtors to enter into an agreement (the “Agreement”) for the collection of accounts receivable, as more fully set forth in the Supplemental Motion; and it appearing that this Court has jurisdiction to consider this matter; and it appearing that the relief requested in the Supplemental Motion is in the best interests of the Debtors and their estates; and it appearing that due notice of this Supplemental Motion has been given and that no other or further notice need be given and sufficient cause appearing therefor, it is
ORDERED that the Supplemental Motion is granted; and it is further
ORDERED that the Debtors are hereby authorized, in their discretion and in the exercise of their business judgment, to enter into the Agreement and to pay all obligations accruing thereunder.
