ORDER AUTHORIZING REJECTION OF CERTAIN CONTRACTS WITH NATIONAL FUEL GAS SUPPLY CORP.

Upon the motion dated December 20, 2001 (the “Motion”), of National Fuel Gas Supply Corporation for an order (i) vacating the automatic stay, (ii) compelling Enron North America, Corp. (“ENA”) to assume or reject executory contracts or, in the alternative, (iii) providing adequate assurance of further performance; and due and proper notice of the Motion having been given; and ENA having deemed that the rejection of the executory contracts identified in the Motion is in the best interest of the Debtors, their estates and creditors, it is hereby

ORDERED, that ENA is authorized to reject, as of the Debtor’s petition date, the executory contracts identified in the Motion, and such contracts are hereby rejected; and it is further

ORDERED that all other relief requested in the Motion is denied.
