ORDER APPROVING SECOND INTERIM APPLICATION OF CLARK WARD, PLLC, FOR ALLOWANCE AND PAYMENT OF COMPENSATION AND REIMBURSEMENT OF EXPENSES AS SPECIAL COUNSEL FOR THE DEBTOR, KEYSTONE CONSOLIDATED INDUSTRIES, INC. FOR THE PERIOD SEPTEMBER 1, 2004 THROUGH NOVEMBER 30, 2004

Upon the Second Interim Application of Clark Ward, PLLC for Allowance and Payment of Compensation and Reimbursement of Expenses as Counsel for the Debtor, Keystone Consolidated Industries, Inc., for the Period September 1, 2004 through November 30, 2004 (the “Application”) filed by Clark Ward, PLLC; the Court having reviewed the Application and the Certification of Licha H. Farah, Jr. in support thereof; and the Court finding that: (a) the Court

has jurisdiction over this matter to 28 U.S.C. §§ 157 and 1334, (b) this is a core proceeding pursuant 28 U.S.C. § 157 (b)(2), (c) notice of the Application was sufficient under the circumstances and no objection or request for hearing having been filed and (d) the legal and factual bases set forth in the Application, the Certification of Licha H. Farah, Jr. in favor thereof establish just cause for the relief granted herein;
IT IS HEREBY ORDERED that:
1. The Application shall be, and hereby is, granted in all respects.
2. Clark Ward, PLLC shall be, and hereby, is granted an interim allowance of compensation of $5,332.50 for services rendered from September 1, 2004 through November 30, 2004 and an interim allowance of expenses of $164.68 for a total of $5,497.18. The Debtor, Keystone Consolidated Industries, Inc., shall be, and hereby is, authorized to pay to Clark Ward, PLLC from the Debtors’ estate said amount, subject to final review and recoupment.
