ORDER APPROVING THE TWELFTH MONTHLY FEE APPLICATION OF DEVELOPMENT SPECIALISTS, INC. FOR ALLOWANCE AND PAYMENT OF COMPENSATION AND REIMBURSEMENT OF EXPENSES AS FINANCIAL ADVISOR TO THE MANAGEMENT RETIREES’ COMMMITTEE FOR THE MONTHS OF MAY THROUGH JUNE 2005

Upon the Twelfth Monthly Application of Development Specialists, Inc. for Allowance and Payment of Compensation and Reimbursement of Expenses as Financial Advisor to the Management Retirees’ Committee for the Months of May Through June 2005 (“DSI’s Twelfth Monthly Application”); the Court having reviewed the Applications and the exhibits thereto; and the Court finding that: (a) it has jurisdiction over this matter pursuant to 28 U.S.C. §§ 157 and 1334, (b) this is a core proceeding pursuant to 28 U.S.C. § 157(b)(2), (c) notice of the Applications was sufficient under the circumstances and no objections were timely filed after due notice; and (d) the legal and factual bases set forth in the Applications establish just cause for the relief granted herein;

IT IS HERBY ORDERED that:
1. DSI’s Twelfth Monthly Application shall be, and hereby is, granted in all respects;
2. DSI shall be, and hereby is, granted an allowance of compensation of $20,271.60 (representing 80% of DSI’s fees incurred) and an allowance of expenses of $1,907.79, for a total amount due of 22,179.39, for services rendered and expenses incurred during the Months of May through June 2005;
3. The Debtors shall be, and hereby are, authorized and instructed to immediately pay DSI the amounts authorized by this Order, less any payments already made to DSI for compensation and expense reimbursement during the Twelfth Monthly Application period, subject to final review and recoupment.
4. The Court shall retain jurisdiction to determine any issues that may arise with respect to implementation of this Order.
