ORDER APPROVING FIRST MONTHLY APPLICATION OF HUSCH EPPENBERGER, LLC FOR ALLOWANCE AND PAYMENT OF COMPENSATION AND REIMBURSEMENT OF EXPENSES AS SPECIAL COUNSEL FOR THE DEBTORS FOR THE PERIOD MAY 1, 2005 THROUGH MAY 31, 2005

Upon the First Monthly Application of Husch Eppenberger, LLC for Allowance and

Payment of Compensation and Reimbursement of Expenses as Special Counsel for the Debtors for the Period May 1, 2005 through May 31, 2005 (the “Application”) filed by Husch Eppenberger, LLC (“Husch”); the Court having reviewed the Application and the Certification of SueAnn Sage Billimack in support thereof; and the Court finding that: (a) the Court has jurisdiction over this matter pursuant to 28 U.S.C. §§ 157 and 1334, (b) this is a core proceeding pursuant to 28 U.S.C. § 157(b)(2), (c) notice of the Application was sufficient under the circumstances, no objections or requests for hearing were filed; and (d) the legal and factual bases set forth in the Application and the Certification of SueAnn Sage Billimack establish just cause for the relief granted herein;

IT IS HEREBY ORDERED that:

1. The Application shall be, and hereby is, granted in all respects.

2. Husch shall be, and hereby is, granted a monthly allowance of compensation of $84.00 for services rendered from May 1, 2005 through May 31, 2005 (which represents 80% of the total fees incurred in the amount of $105.00) and a monthly allowance of expenses of $.00 incurred in connection with such services, for a total amount of $84.00. The Debtors shall be, and hereby are, authorized to pay to Husch from the Debtors’ estate these amounts, subject to final review and recoupment.
