STIPULATION FOR PARTIAL ALLOWANCE OF CLAIMS OF MICHAEL STOLL (CLAIM NO. 2079)

THIS STIPULATION is made by and between the HA2003 Liquidating Trust (the “Liquidating Trust” and creditor Michael Stoll (“Stoll” or “Claimant”), and is made with reference to the following facts:
A. On or about July 11, 2002, Stoll filed an unsecured claim, No. 2079, against HA-LO Industries, Inc. in the amount of $514,178 (the “Claim”).
B. On or about May 24, 2004, the Trust filed an Objection To And Request For Disallowance Of Claims Filed By Michael Stoll (the “Objection”), in which the Trust sought an order disallowing the Claim in its entirety.
C. On or about June 16, 2004, Stoll filed a response to the Objection.
D. The parties desire to avoid the uncertainties and expense of litigation, and to settle and compromise the aforementioned Claim by this Stipulation and Order.
NOW THEREFORE, in consideration for the foregoing facts, which are incorporated herein, the parties stipulate and agree as follows:
1. Claim No. 2079 shall be allowed as a Class 4 general unsecured claim in the amount of $353,890.91. All other amounts sought in Claim No 2079 shall be disallowed.
2. Each party shall bear its own attorneys’ fees and costs.
