ORDER UNDER 11 U.S.C. § 105(A) AND 502(B), AND FED.R.BANKR.P. 3007, DISALLOWING CERTAIN CLAIMS SET FORTH IN THE FIRST OMNIBUS OBJECTION TO CLAIMS

This cause coming to be heard on the First Omnibus Objection to Claims Pursuant to 11 U.S.C. § 105(a) and 502(b), and F.R.Bankr.P. 3007, of the Post-Confirmation Committee of Unsecured Creditors of HA2003, Inc., et al., and request for approval of shortened notice (the “First Omnibus Objection”); notice of the First Omnibus Objection having been given to all affected creditors; the Court having heard any arguments of counsel for the Official Committee of Unsecured Creditors of HA2003, Inc. and any claimant subject to the First Omnibus Objection; and the Court being otherwise fully advised in the premises; IT ISHEREBY ORDERED THAT:

A. Pursuant to 11 U.S.C. § 105(a) and 502(b), and F.R.Bankr.P. 3007, each Disallowed Claim listed on Exhibits A andB attached hereto is disallowed in its entirety with the exception of Claims referenced in paragraphs B, C and D below.

B. The Claims listed on Exhibit 1 attached hereto shall be continued to June 23, 2004 at 11:00 a.m.

C. Exhibit B is modified to provide that claim no. 808 of Lollypops Candies shall be disallowed, and claim no. 825 of Lollypops Candies shall be a remaining claim.

D. The Objection is withdrawn as to claim no. 2260 of Health Source/Hudson Health Plan.

E. This Court shall retain jurisdiction over the Committee and the Claimants whose claims are subject to the Objection with respect to any matters related to or arising from the implementation of this Order.

F. This Order is without prejudice to the rights of the HA2003 Liquidating Trust and the Committee to object to any other claims in these chapter 11 cases or to further object to any Claims objected to herein on any basis or for any reason, subject to the terms of the Plan.

G. Notice of the First Omnibus Objection is deemed sufficient.
