C. ALAN BENTLEY, Chapter 11 Trustee (the “Trustee”) of the captioned Debtors, by and through his counsel, having moved the Court for entry of an Order approving a

compromise and settlement with Friedman Turbidy Company, Inc. (“Friedman Turbidy”) and dismissing the adversary proceeding against Friedman Turbidy; notice having been given and a hearing held, Claire P. Murphy and Steven C. Florsheim appearing on behalf of the Trustee, no further notice or hearing being required; all capitalized terms not otherwise defined herein having the meaning ascribed to them in the Motion for Approval of Compromise and Settlement with Friedman Turbidy Company Pursuant to Bankruptcy Rule 9019 (the “Motion”); the Court having considered the Motion and all pleadings submitted in connection therewith; the relief requested in the Motion being in the best interests of the estate and its creditors; and the Court being otherwise duly advised in the premises;

IT IS ORDERED:

1. The Motion is granted.

2. The Court approves the Settlement Agreement appended to the Motion.
