ORDER AND NOTICE CONDITIONAL APPROVING DEBTORS’ SALE OF CENTER COURT BUILDING FREE AND CLEAR OF LIENS, CLAIMS AND ENCUMBRANCES AND SHORTENING TIME FOR OBJECTIONS

Upon the Debtors’ Motion for an Order Approving Sale of Center Court Building Free and Clear of Liens, Claims and Encumbrances and Request for Shortened Notice Period (the “Motion”) seeking approval of the Debtors’ intended sale of the Center Court Building to Boyle-Fort Worth, L.P., and the Court having determined that the Motion is well-taken, and it appearing that notice should be given in accordance with the Federal Rules of Bankruptcy Procedure and local rules and that shortened notice is appropriate,

IT IS HEREBY ORDERED that:

1. The Debtors’ Motion is granted in all respects and the Debtors’ request to sell Center Court Building to Boyle-Fort Worth, L.P. is approved, subject to objections as provided for herein.

2. Within the time required by local rules, Debtors’ counsel shall servo by first class mail, postage prepaid, a copy of the Motion and this Notice and Order on the parties described in the Debtors’ Motion. A copy of Exhibit A to the Motion may be obtained from the Court or Summit Document Services, 219 5th Avenue North, Nashville, Tennessee, 37219, telephone number (615) 251-0070.

3. ANY OBJECTION TO THE RELIEF REQUESTED IN THE MOTION MUST BE FILED, ON OR BEFORE 4 P.M. MONDAY, AUGUST 19, 2002 AND A COPY MUST BE SERVED ON COUNSEL FOR THE DEBTORS AT THE ADDRESSES BELOW AND UPON THE U.S. TRUSTEE AT 318 CUSTOMS HOUSE, 701 BROADWAY, NASHVILLE, TENNESSEE, 37203.

4. IF A WRITTEN OBJECTION IS TIMELY FILED AND SERVED IN ACCORDANCE HEREWITH, SUCH OBJECTION SHALL BE HEARD ON THE 20th DAY OF AUGUST 2002, AT 10:00 A.M., IN COURTROOM 2 CUSTOMS HOUSE, 701 BROADWAY, NASHVILLE, TENNESSEE.

5. Subject only to timely sustained objections, this Order shall be effective as of the date of its entry without further notice or hearing.
