ORDER GRANTING THE APPLICATION OF COGNIZANT ASSOCIATES, INC. FOR ALLOWANCE OF ADMINISTRATIVE CLAIM FOR COMPENSATION AND REIMBURSEMENT OF EXPENSES FOR THE PERIOD OF JULY 1, 2004 THROUGH SEPTEMBER 30, 2004

Upon the Application (the “Application”) of Cognizant Associates, Inc. (“Cognizant”) for Allowance of Administrative Claim for Compensation and Reimbursement of Expenses for the Period of July 1, 2004 Through September 30, 2004 (the “Fee Period”) as airline industry consultant to the Official Committee of Unsecured Creditors of UAL Corporation et al., (the “Debtors”); the Court having reviewed the Application; the Court having found that it has jurisdiction over this matter pursuant to 28 U.S.C. §§ 157 and 1334; it appearing that this proceeding is a core proceeding within the meaning of 28 U.S.C. § 157(b)(2); it appearing that venue is proper in this District pursuant to 28 U.S.C. §§ 1408 and 1409; it appearing that proper and adequate notice has been given and that no other or further notice is necessary; all persons with standing having been afforded the opportunity to be heard on the Application; and after due deliberation thereon; and good and sufficient cause appearing therefore,

IT IS HEREBY ORDERED, ADJUDGED, AND DECREED THAT:

1. The Application is granted.

2. An administrative allowance be made to Cognizant for the Fee Period in the sum of $182,510.00 for necessary professional services rendered and $29,586.83 for expenses incurred.

3. The Debtors are hereby authorized and directed to pay Cognizant $18,291.00 representing sums described in paragraph 2 hereof less amounts paid to Cognizant to date for fees earned and expenses incurred during the Fee Period.

4. This Court retains jurisdiction to hear and determine all matters arising from the implementation of this Order.

5. Notwithstanding the possible applicability of Bankruptcy Rules 6006(d), 7062, 9014, or otherwise, the terms and conditions of this Order shall be immediately effective and enforceable upon its entry.

6. All time periods set forth in this Order shall be calculated in accordance with Bankruptcy Rule 9006(a).
