ORDER APPROVING THE DEBTORS’ SECOND OMNIBUS OBJECTION TO PROOFS OF CLAIM (CLAIMS BASED ON OWNERSHIP OF COMMON STOCK)

Upon consideration of the Debtors’ Second Omnibus Objection to Proofs of Claim (Claims Based on Ownership of Common Stock) filed by WorldCom, Inc. and certain of its direct and indirect subsidiaries, as debtors and debtors in possession (collectively, the “Debtors”) dated March 28, 2003, seeking expungement and disallowance of proofs of claim identified on Exhibit A, attached hereto, based on ownership of common stock; and it appearing that the expungement and disallowance of these proofs of claim is in the best interest of the Debtors, their estates and their creditors; and good and sufficient notice having been given in accordance with the Claim Objection Procedures Order[1] ; and it appearing that the Debtors have continued their objections to the proofs of claim identified on Exhibit B, without prejudice; and after due consideration and sufficient cause appearing therefore, it is
ORDERED that the proofs of claim identified on Exhibit A are hereby expunged and such claims are hereby disallowed in their entirety; provided, however, that such disallowance shall be without prejudice to such entitlements, if any, that the claimants identified in such proofs of claim may have as holders of equity interests in WorldCom; and it is further
ORDERED that, although Claim No. 15611 filed by Pacific Income Advisors, Inc. includes a mixture of equity ownership claims and bond ownership claims, Claim No. 15611 is disallowed and expunged in its entirety pursuant to (a) the disallowance and expungement of the equity portion of the claim; and (b) the disallowance and expungement of the bond portion of the claim because Claim No. 15611 is duplicative of Claim Nos. 10710 and 10711, filed by Wilmington Trust Co, acting as the indenture trustee for the applicable bond series, and filed on behalf of the holders of such bonds.
