ORDER AUTHORIZING THE FILING UNDER SEAL OF SETTLEMENT AGREEMENT BETWEEN ROSEVILLE AND THE DEBTORS AND THEIR OPPOSITION TO THE DEBTORS’ 76TH OMNIBUS OBJECTION TO PROOFS OF CLAIM

Upon the motion (the “Motion”) of Roseville Telephone Company and its related and affiliated companies (collectively, “Roseville”), pursuant to Sections 105 and 107 of the United States Bankruptcy Code, 11 U.S.C. §§ 1011330 (the “Bankruptcy Code”), for entry of an order authorizing the filing under seal of that certain settlement agreement (the “Settlement Agreement”) between Roseville and Worldcom, Inc., and Roseville’s Opposition (“Opposition”) to the Debtors’ 76th Omnibus Objection to Proofs of Claim (“76th Objection”); it appearing that this Court has jurisdiction over this matter and the relief requested in the Motion pursuant to 28 U.S.C. §§ 157 and 1334; it appearing that this is a core proceeding pursuant to 28 U.S.C. § 157(b); the Court having determined that the terms of the Settlement Agreement and the Opposition constitute “commercial information” within the meaning of Section 107(b) of the Bankruptcy Code; and the Court having determined that the relief sought in the Motion is in the

best interests of Roseville, the Debtors, their estates, and all parties in interest; therefore, upon the Motion and all of the proceedings before the Court and after deliberation, sufficient cause appearing therefore; it is hereby

ORDERED that, the Motion is granted; and it is further

ORDERED that, the Settlement Agreement shall be maintained by the Court under seal until further order of the Court; and it is further

ORDERED that, only the redacted version of the Opposition shall be maintained on the electronic docket in this case and that the unredacted version of the Opposition shall be maintained by the Court under seal until further order of the Court; and it is further

ORDERED that the Court shall retain jurisdiction with respect to all matters arising from or related to the implementation of this order.
